1. The Parties
These Terms of Service ("Terms") constitute a legally binding agreement between:
- Mathurs24 — a digital services business operating from New Delhi, Delhi, India ("Company", "we", "us", "our"); and
- The individual, business, or organisation accessing our website or engaging our services ("Client", "you", "your").

2. Services Offered
Mathurs24 provides the following digital services:

All services are described on our website and in individual project proposals. The specific scope, deliverables, timeline, and pricing for each engagement are agreed in writing before work commences.
3. Geographic Scope & Disclaimer for International Users
Important: Our services are designed and intended exclusively for clients and businesses located within the territory of India. Mathurs24 makes no representation that its services, website content, or deliverables are appropriate, compliant, or available for use in jurisdictions outside India.
If you are accessing this website or engaging our services from outside India:
- You do so entirely at your own initiative and risk
- You are solely responsible for compliance with all applicable local, national, or international laws in your jurisdiction
- Mathurs24 shall have no liability whatsoever for any loss, damage, penalty, fine, legal cost, or consequence arising from your use of our services in violation of the laws of your jurisdiction
- Mathurs24 shall not be subject to the jurisdiction of any foreign court, tribunal, arbitration panel, or regulatory authority in connection with any dispute arising from these Terms
- No foreign judgment against Mathurs24 shall be enforceable in India unless it meets the requirements of Section 13 of the Code of Civil Procedure, 1908
4. Quotations, Proposals & Project Agreements
- All quotations are valid for 30 days from the date of issue unless stated otherwise.
- A project commences only upon receipt of a signed proposal/agreement and the advance payment specified therein.
- Any changes to the agreed scope of work must be requested in writing and may attract additional charges.
- Verbal commitments or agreements not confirmed in writing shall have no binding effect on Mathurs24.
- Timelines stated in proposals are estimates based on timely receipt of client content, feedback, and approvals. Delays attributable to the client shall not constitute a breach by Mathurs24.
5. Payment Terms
- All prices are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST) unless stated otherwise. Applicable GST will be charged in addition to the quoted amount.
- Standard payment structure: 50% advance before project commencement; balance due on project completion/delivery.
- Hosting plans are billed monthly or annually as selected at the time of purchase.
- Invoices are due within 7 days of issuance unless otherwise agreed in writing.
- Overdue payments attract interest at 18% per annum (1.5% per month) from the due date.
- Mathurs24 reserves the right to suspend or withhold delivery of work, hosting, or support services in the event of non-payment.
- All payments must be made in INR via bank transfer, UPI, or other methods acceptable to Mathurs24. We do not accept payments in foreign currencies unless explicitly agreed in a separate written agreement.
6. Refund & Cancellation Policy
- Advance payments are non-refundable once work has commenced, as they cover initial design, research, planning, and resource allocation costs.
- If a project is cancelled by the client before commencement, the advance will be refunded minus a 10% administrative fee.
- If Mathurs24 is unable to deliver the agreed services due to circumstances entirely within its control, a prorated refund will be considered at our sole discretion.
- Hosting plans: monthly plans may be cancelled with 30 days notice; annual plans are non-refundable after the first 7 days.
- Disputes regarding deliverables must be raised in writing within 14 days of delivery. Failure to raise a timely objection shall constitute deemed acceptance.
7. Intellectual Property
- All custom work created by Mathurs24 for a client — including designs, code, and content — transfers to the client upon receipt of full payment.
- Until full payment is received, all work product remains the exclusive property of Mathurs24.
- Mathurs24 retains the right to use completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
- Third-party assets used in projects (fonts, stock images, plugins, frameworks) are subject to their respective licences. Mathurs24 shall not be liable for the client's failure to maintain such licences after project delivery.
- The client warrants that all materials, logos, images, and content provided to Mathurs24 are owned by them or properly licensed, and that their use does not infringe any third-party intellectual property rights. The client indemnifies Mathurs24 against any claim arising from such materials.
8. Client Responsibilities
The client agrees to:
- Provide accurate, complete, and timely information, content, and approvals required for project delivery
- Ensure that all materials provided do not infringe any third-party rights
- Designate a single point of contact with authority to approve deliverables
- Review and respond to deliverables within the timelines agreed in the project proposal
- Maintain all software licences, hosting renewals, and domain renewals after project handover
- Not use any deliverable for unlawful, defamatory, obscene, or fraudulent purposes
9. SEO & Digital Marketing Disclaimer
Mathurs24 provides SEO and digital marketing services based on current best practices and available data. However:
- We do not guarantee specific rankings on Google, Bing, or any other search engine, as search algorithms are controlled by third parties and change frequently.
- Results may vary based on competition, industry, domain age, and factors outside our control.
- Any projected traffic or lead estimates provided in proposals are indicative only and not contractually guaranteed.
- Organic search rankings may fluctuate and cannot be guaranteed to remain constant.
10. Hosting Services
- Hosting is provided on a best-effort 99.9% uptime basis. Planned maintenance windows will be communicated in advance where possible.
- The 99.9% uptime SLA excludes scheduled maintenance, force majeure events, client-caused outages, and third-party infrastructure failures.
- Mathurs24 is not liable for data loss beyond what can be restored from our most recent backup. Clients are encouraged to maintain independent backups of critical data.
- Clients may not use hosting services for spam, illegal content, copyright infringement, cryptocurrency mining, or any activity that violates Indian law or disrupts other users.
- Mathurs24 reserves the right to suspend hosting accounts involved in abuse, illegal activity, or non-payment without prior notice.
11. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- Mathurs24's total aggregate liability to the client for any and all claims arising out of or related to these Terms or the services shall not exceed the total fees paid by the client to Mathurs24 in the 3 months preceding the event giving rise to the claim.
- Mathurs24 shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
- Mathurs24 shall have no liability whatsoever for claims arising from your use of third-party services, platforms, tools, or APIs integrated into your project (e.g., Google, Meta, Shopify, payment gateways).
- Mathurs24 is not liable for any loss or damage arising from actions or inactions of the client, including failure to provide content, approvals, or access in a timely manner.
These limitations apply regardless of the form of action, whether in contract, tort (including negligence), statute, or otherwise.
12. Indemnification
The client agrees to indemnify, defend, and hold harmless Mathurs24, its directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:
- The client's breach of these Terms
- The client's use of deliverables in violation of applicable law
- Any third-party intellectual property claim arising from client-provided materials
- The client's violation of any third-party rights
- Any claim brought by a foreign jurisdiction arising from the client's use of our services outside India
13. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Neither party shall disclose the other's confidential information to any third party without prior written consent, except as required by law. This obligation survives the termination of the engagement.
14. Force Majeure
Mathurs24 shall not be liable for any delay or failure to perform its obligations under these Terms resulting from circumstances beyond its reasonable control, including but not limited to acts of God, government actions, pandemics, war, civil unrest, internet outages, power failures, third-party platform failures, or natural disasters. In such events, Mathurs24 will notify the client and make reasonable efforts to resume performance as soon as practicable.
15. Website Use
- You may not use this website for any unlawful purpose or in a way that violates the Information Technology Act, 2000 or any other applicable Indian law.
- You may not attempt to gain unauthorised access to any part of the website, its servers, or any connected systems.
- You may not use automated tools, bots, or scrapers to extract content from this website without express written permission.
- We reserve the right to restrict or terminate access to the website at our sole discretion without notice.
16. Termination
- Either party may terminate an ongoing project engagement with 30 days written notice.
- Mathurs24 may terminate immediately in the event of non-payment, client breach, abusive conduct, or activity that violates Indian law.
- Upon termination, the client shall pay for all work completed up to the termination date. Work product will be released upon receipt of full payment.
- Hosting services will be terminated and data deleted 30 days after the final billing cycle following termination notice.
17. Dispute Resolution
In the event of a dispute:
- Negotiation — The parties shall first attempt to resolve any dispute through good-faith direct negotiation within 15 days of written notice of the dispute.
- Mediation — If unresolved, the parties may opt for mediation before a mutually agreed mediator based in New Delhi.
- Arbitration — If still unresolved, the dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by mutual agreement, seated in New Delhi. The language of arbitration shall be English. The arbitral award shall be final and binding.
- Litigation — If arbitration is not invoked or fails, the parties submit to the exclusive jurisdiction of courts in New Delhi, India.
The client expressly waives any right to litigate any dispute in any court outside India or to invoke the jurisdiction of any foreign court, tribunal, or regulatory authority against Mathurs24.
18. Governing Law
These Terms shall be governed by, and construed exclusively in accordance with, the laws of the Republic of India. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
The courts of New Delhi, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. Any foreign judgments, awards, or orders against Mathurs24 shall be enforceable in India only as permitted under Section 13 and 14 of the Code of Civil Procedure, 1908.
19. Amendments
Mathurs24 reserves the right to update or modify these Terms at any time. The updated Terms will be published on this page with a revised effective date. For ongoing engagements, material changes will be communicated via email. Continued use of our services after such changes constitutes acceptance of the revised Terms.
20. Severability & Waiver
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
21. Entire Agreement
These Terms, together with any signed project proposal or service agreement, constitute the entire agreement between Mathurs24 and the client with respect to the subject matter herein and supersede all prior discussions, representations, and understandings, whether oral or written.
